To the fullest extent permitted by law, the total aggregate liability of VOI arising from or relating to the Website or these Terms will not exceed the greater of the amount you paid directly to VOI for access during the 12 months preceding the event giving rise to the claim, or $100.00.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless VOI and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and expenses, including reasonable legal fees, arising from or relating to your misuse of the Website, your violation of these Terms, your violation of applicable law, your violation of another person's rights, your Submissions, or activity occurring through your account.
VOI may restrict, suspend, disable, or terminate your account or Website access, with or without notice, if VOI reasonably believes that you violated these Terms, created a security risk, misused restricted content, or if continued access is no longer appropriate. You may stop using the Website at any time.
If you believe material on the Website infringes your copyright, send a written notice to digital@myvega.com containing: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the disputed use is unauthorized; a statement under penalty of perjury that the information is accurate and you are authorized to act for the copyright owner; and your physical or electronic signature.
These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law principles. Mandatory consumer-protection laws in your place of residence may also apply and are not waived where they cannot lawfully be waived.
Except where applicable law requires otherwise, any legal action arising from or relating to these Terms or the Website must be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you and VOI agree to make a reasonable, good-faith effort to resolve the dispute informally by providing written notice describing the dispute and requested resolution. Nothing in this section prevents either party from seeking immediate injunctive relief to prevent unauthorized access, misuse of intellectual property, disclosure of restricted information, security threats, or other irreparable harm.
VOI may revise these Terms periodically. Updated Terms will be posted on the Website with a revised "Last Updated" date. Your continued use of the Website after revised Terms take effect constitutes acceptance of the revised Terms.
25.1 Entire Agreement. These Terms, together with the Privacy Policy and any additional terms presented for a particular Website feature, constitute the entire agreement between you and VOI concerning the Website.
25.2 Severability. If any provision is found invalid, illegal, or unenforceable, the remaining provisions remain in effect.
25.3 No Waiver. A failure to enforce a provision is not a waiver of that provision or any other right.
25.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without VOI's prior written consent. VOI may assign or transfer these Terms in connection with a corporate reorganization, merger, acquisition, financing, or sale of assets.
